FC CINCINNATI FOUNDATION 50/50 RAFFLE OFFICIAL RULES

Please read these Official Rules before entering the FC Cincinnati Foundation 50/50 Raffle at TQL Stadium (the “Raffle”). By purchasing a ticket for the Raffle (“Raffle Ticket(s)”), each eligible participant (a “Participant”) represents that they meet all the below stated requirements and agree to be bound by these Official Rules and by the decisions of the FC Cincinnati Foundation (the “Sponsor”), a 501(c)(3) charitable organization, or its representatives.

1. THE RAFFLE: The FC Cincinnati Foundation 50/50 Raffle at TQL Stadium is a raffle whereby tickets are sold online every FC Cincinnati home match (“Event”). At the conclusion of each match, the winning Raffle Ticket number will be posted to https://fccincinnati5050.com. Each raffle begins approximately three (3) hours before every FC Cincinnati home match and ends at the seventy-fifth (75th) minute of the second half (each a “Raffle Period”).

2. ELIGIBILITY: The Raffle is only open to legal residents who are of legal age of majority in the jurisdiction in which they reside (and at least 18 years old) at the time of entry. Employees and contractors of Fussball Club Cincinnati, LLC and West End Ventures, LLC (collectively, the “Club”), their parent companies, subsidiaries, affiliates, employees, contractors, and advertising/promotional agencies, and the immediate families and household members of each of the above, are not eligible to win. The Raffle is subject to all applicable Federal, state and local laws.

3. ENTRY: For an Event, Raffle Tickets may be purchased remotely by use of a mobile phone, laptop, desktop computer or tablet with internet capability and valid credit card. You may enter the Raffle, if you meet the eligibility requirements, by agreeing to follow these Official Rules and purchasing Raffle Tickets in one of the following amounts: One (1) Raffle Ticket for ten dollars ($10.00), fifteen (15) Raffle Tickets for twenty five dollars ($25.00), fifty (50) Raffle Tickets for fifty dollars ($50.00), or two hundred (200) Raffle Tickets for one hundred dollars ($100.00). The ticket pricing is also subject to change at the sole discretion of the FC Cincinnati Foundation based on specialized promotions for individual Events. Each Raffle Ticket purchased will be considered one (1) entry into the Raffle. The purchase of an FC Cincinnati match ticket or any other item from FC Cincinnati is not required to enter the Raffle. All Raffle Ticket purchases must be completed by the end of the applicable Raffle Period. The Club and any related entities are not liable for any lost, late, misdirected, incomplete, illegible, undelivered, or destroyed tickets regardless of cause or person responsible including, but not limited to, any problem or technical malfunction of any computer, online system or server or technical problem. All Raffle Ticket sales are final, and no refunds or replacement tickets will be issued except as otherwise determined by the Sponsor at its sole discretion. All Raffle Ticket purchases must be made during the applicable Raffle Period; Raffle Tickets are not eligible for any past or future Raffle drawing(s).

4. DRAWING: The Prize winner(s) will be selected in a random drawing from among all eligible Raffle Tickets purchased during each Raffle Period. The drawing will be held at the conclusion of each applicable match and will be conducted by Sponsor, whose decision is final and binding, in collaboration with Bump Worldwide Inc. (“Bump”). The selected Raffle Ticket will be announced at https://fccincinnati5050.com. In the event the website is inoperable, the selected Raffle Ticket can be found via the FC Cincinnati Foundation Instagram, @fccfoundation.

5. PRIZES: As defined below, Cash Prize and Early Bird Prizes are collectively referred to herein as a “Prize” or “Prizes”. No other Prizes will be awarded. 1. Cash Prize: One (1) fan who purchased a Raffle Ticket will, subject to verification of eligibility and compliance with these Official Rules receive, fifty percent (50%) of the net proceeds minus any related expenses from the Raffle Ticket sales for the applicable Raffle Period (the “Cash Prize”). All remaining proceeds from the Raffle shall be retained by the FC Cincinnati Foundation, a 501(c)(3) charitable organization. There will be one (1) Cash Prize winner for each Raffle Period 2. Early Bird Prize(s): Each Raffle Period may feature “Early Bird” raffle drawings. All Raffle Tickets purchased for the Raffle prior to a certain closing time, as determined in Sponsor’s sole and absolute discretion, but before the end of the Raffle Period (the “Early Bird Draw Closing Time”), will be automatically entered into the drawing for certain prizes other than the Cash Prize (the “Early Bird Prize(s)”). The Early Bird Prizes will be determined in Sponsor’s sole and absolute discretion and may include items such as autographed jerseys, scarves, or other merchandise items. All winning Raffle Ticket numbers for an Early Bird Prize will also still be entered into the drawing for the Cash Prize for the Raffle Period in which the Raffle Ticket has been purchased. Early Bird Prizes are not transferable and must be accepted as awarded with no substitutions, except at Sponsor’s sole discretion.

6. CLAIMING A PRIZE: To claim a Prize, the holder of the selected Raffle Ticket (a “Prize Claimant”) must present the winning Raffle Ticket in-person at FC Cincinnati Admin. Offices, 14 East 4th Street, Fourth Floor, Cincinnati, OH 45202, within thirty (30) days of the applicable drawing. Each Prize Claimant must provide the FC Cincinnati Foundation with all information required to claim a Prize (including tax identification information). The Prize Claimant will receive an Affidavit of Eligibility & Liability/Publicity Release (“Affidavit”) in the form approved by the Sponsor which must be executed and returned to the Sponsor prior to the receipt of the Prize. In the event a Prize Claimant: (a) does not notify the Sponsor within thirty (30) days of the drawing; (b) is ruled ineligible for any reason; (c) refuses the Prize; or (d) does not execute an Affidavit and provide tax identification information, the Prize will be forfeited and will be retained by the Sponsor. The Sponsor has no obligation to contact potential winners. All Prizes will be delivered via check within thirty (30) days of the Prize Claimant delivering the winning Raffle Ticket, executed Affidavit, and all other required documents to the Sponsor. For security and safety reasons, no cash payments will be made to the Raffle winners. Unclaimed winnings will be retained by the Sponsor.

7. ODDS: Odds of winning are dependent on the total number of Raffle Tickets purchased in each Raffle Period.

8. TAXES: Each Participant acknowledges that they have been informed that the IRS has taken the position that amounts paid for chances to participate in raffles, lotteries, or similar programs are not gifts and, therefore, the price of a Raffle Ticket does not qualify as a deductible charitable contribution. The Prize winner is responsible for any and all Federal, state, and local taxes, fees and other government assessments on the awarded Prize. Furthermore, each Prize winner acknowledges that Federal law requires that an income tax withholding on certain Prize values must be collected from winners upon award or distribution. Federal and state withholding laws are subject to change without notice. The withholding laws in effect at the time each Prize is claimed will be followed.

9. TRANSFER OF RAFFLE TICKET: Purchasers of any Raffle Tickets may not re-sell their Raffle Ticket to other parties and may not give away their Raffle Ticket to others for the purpose of allowing those other parties to use or re-sell such Raffle Ticket. Any Raffle Ticket which has been resold in violation of these Official Rules shall be void. All individuals who re-sell, purchase, or receive a Raffle Ticket in violation of these Official Rules shall be ineligible to participate in the Raffle or to win a Prize.

10. PARTICIPANT’S GRANT OF LICENSE: By participating in the Raffle or accepting a Prize, each Participant hereby irrevocably and perpetually grants to the Sponsor, the Club and their designees a worldwide license to use, publish, reproduce, create derivative works of, distribute and publicly display any images or likenesses taken or captured of the Participant in connection with their participating in the Raffle or receiving a Prize (collectively, the “Images”), in any form, media or content which now or hereafter exists, for advertising, promotional or any other commercial purposes as well as non-commercial purposes. Each Participant waives any compensation for any use of such images. Each Participant hereby releases and waives any claims, demands, damages, losses, liabilities and causes of action arising from the Sponsors, the Club’s or their respective designees, uses of the images, including, without limitation, any claims for defamation, libel, invasion of privacy, publicity, personality, or exploitation of the Participant’s name or likeness.

11. RELEASE OF LIABILITY AND INDEMNITY: By participating in the Raffle, the Participant on the Participant’s behalf and on behalf of the Participant’s spouse, assigns, guardians, administrators, executors and legal representatives, hereby releases, waives, discharges, covenants not to sue, and indemnifies the Sponsor, the Club, and Major League Soccer and its member clubs (collectively, the “MLS ENTITIES”) together with all of their past, present or future predecessors, successors, assigns, parent companies, subsidiaries, affiliates, related entities and persons, owners, shareholders, members, partners, trustees, elected officials, directors, managers, employees, servants, principals, agents, consultants, contractors, representatives, sponsors, and insurers from any claim or loss arising out of or related to the Participant’s participation in the Raffle, acceptance of the Prize, or any exercise by the Sponsor of any of its rights set forth herein or the Official Rules of the Raffle, including but not limited to, any claims related to (i) any injury to the Participant (including death) or the Participant’s property that occurs in connection with participation in the Raffle, receiving the Prize or any related activities, (ii) any failure to report and pay any income taxes arising from acceptance of the Prize, and (iii) the Participant’s acts or the acts of any other party with respect to the Participant’s receipt of the Prize, or participation in the Raffle, regardless of whether any such claims are caused in whole or in part by the negligence of any entity or person released hereunder. The “MLS ENTITIES” shall mean the Fussball Club Cincinnati, LLC d/b/a Football Club Cincinnati (“Club”), Major League Soccer, LLC (“MLS”), Soccer United Marketing, LLC (“SUM”), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the MLS and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities.

12. DISPUTES AND GOVERNING LAW: The Raffle shall be governed by the laws of the State of Ohio without giving effect to any choice of law or conflict of law rule of any jurisdiction. Any claims regarding the Raffle that are not released, must be brought in the State or Federal Courts located in Cincinnati, Ohio, and Participant hereby consents to the personal jurisdiction of such courts for purposes of any such action. The Raffle is void outside the United States and where prohibited by law. Each Participant agrees that: (1) any and all disputes, claims, and causes of action not waived arising out of or in connection with the Raffle, or any Prizes awarded, shall be resolved individually, without resorting to any form of class action; (2) any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Raffle, but in no event attorneys’ fees; and (3) under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim punitive, incidental, and consequential damages, and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. PARTICIPANTS EXPRESSLY WAIVE ALL RIGHTS TO COURT AND JURY TRIAL. IN NO EVENT SHALL BUMP, SPONSOR, OR MLS OR ANY RELATED ENTITY BE LIABLE TO FOR DAMAGES THAT EXCEED THE VALUE OF THE PRIZE AWARDED TO ANY INDIVIDUAL PARTICIPANT IN THE RAFFLE.

13. DISQUALIFICATION; CHANGES: The FC Cincinnati Foundation reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the ticketing process or the operation of the raffle, re-sells a Raffle Ticket, violates that Official Rules, or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. The FC Cincinnati Foundation reserves the right to, at its sole discretion, cancel, suspend and/or modify the Raffle or these Official Rules or disqualify any individual or ticket for purposes of protecting the integrity of the Raffle or addressing changes in business operations or other circumstances, to the extent allowed under applicable law. CAUTION: ANY ATTEMPT BY A PARTICIPANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE RAFFLE IS A VIOLATION OF THESE OFFICIAL RULES AND OF CRIMINAL AND CIVIL LAWS AND IF SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

14. SPONSOR; WINNERS LIST: The sponsor of the Raffle is the FC Cincinnati Foundation, a 501(c)(3) charitable organization, and the address of its office is 14 E 4th Street, Cincinnati, OH 45202. You may obtain a list of the winning Raffle Ticket numbers by sending a request (identifying the “50/50 Raffle”) to the above address, together with a stamped, self-addressed envelope. The winning Raffle Ticket numbers also will be posted on https://fccincinnati5050.com.
